Frequently Asked Questions

Essential information regarding direct capital funding, compliance standards, broker fees, and the underwriting review process.

VII Capital Funds LLC® is not a bank. We are a Certified Private Direct Fund Lender and Fund Management Company with over 30 years of active operation in institutional private capital markets — and the regulatory infrastructure to prove it.

Conventional commercial banks are restricted by OCC U.S. Treasury regulations and rigid standardized underwriting matrices designed to protect depositor funds — not to solve complex capital problems. When a project is unconventional, cross-border, development-stage, or structured outside standard parameters, banks decline. Not because the deal is bad — because their regulatory framework cannot accommodate it.

VII Capital Funds LLC® was built specifically for that gap. We deploy capital through SEC Regulation D, Rule 506 private placement syndicates, institutional fund facilities, and global capital networks — structures engineered for transactions that traditional banks cannot service.

“The difference in one sentence: Banks protect depositors. We fund deals.”

VII Capital Funds LLC® and its parent entity Visconti Industries Inc® are registered trademarks of the United States Patent and Trademark Office — a firm with over 30 years of continuous operation in private capital markets, fund management, commercial real estate finance, cross-border transaction structuring, and SEC-compliant private placement management.

We are not a startup. We are not a capital broker collecting fees with no infrastructure behind them. We are a fully credentialed, multi-jurisdictionally licensed, internationally recognized capital institution: Mark G Visconti is the Manager of VII Capital Funds LLC and the President of Visconti Industries Incorporated®.

Mr. Visconti’s background work history spans 48 years with 3 decades at Visconti Industries Incorporated®. Working with Cross border companies, U.S. Government Projects, State and Fortune 500 Corporations delivering exceptional service and commitment.

We encourage every prospective client to independently verify any of these credentials before submitting. Legitimate institutions welcome verification. We are one of them.

This is one of the most important questions a prospective client can ask — and it deserves a completely direct answer.

As disclosed in our full Regulatory Disclaimer: non-conforming, non-bankable commercial transactions are not success-fee-based engagements. This is not a policy choice. It is a structural and legal necessity — and understanding why protects you as much as it protects us.

Here is the reality of what institutional-grade due diligence on a complex capital transaction actually requires:

What diligence costs fund:
  • Physical asset inspections conducted by qualified independent parties
  • Principal and ownership verification across applicable jurisdictions
  • Travel and on-site verification of the project, collateral, and operating conditions
  • Federal SEC regulatory filings required under applicable securities law
  • FinCEN and FATCA compliance review for cross-border transactions
  • Domestic legal counsel provided by Darin Mangum and Associates
  • International legal compliance managed through Meritas Law Firms Worldwide
  • PPM preparation and legal review prior to capital commitment

Who receives these payments: These costs are paid directly by the client to the third-party service Providers — not to VII Capital Funds LLC®. Every dollar of diligence cost goes to the independent professionals performing the work. You can verify each provider independently before any funds are transferred.

Cost range: $28,000 to $150,000+ USD depending on transaction tier, geographic scope, and complexity.

The hard truth about “success-fee-only” lenders: Any capital source offering to absorb full diligence costs on a success-fee basis for non-conforming transactions of this complexity is either not performing real diligence — or embedding those costs invisibly into your capital structure at a multiple of their actual cost. After 30 years in this industry, we have seen both scenarios destroy transactions and harm clients.

The cost of diligence is the cost of certainty. At the transaction sizes we operate in, that certainty is not optional.

We will answer this question with the same directness we apply to every aspect of our operation — because this question, above all others, separates legitimate private capital institutions from fraudulent ones.

VII Capital Funds LLC® does not guarantee funding as a condition of paying diligence fees.

Here is exactly why — and why that answer should give you confidence, not concern:

What can prevent a funded outcome:

There are only two scenarios in which VII Capital Funds LLC® cannot successfully raise and deploy private capital for a qualified project:

1. Fraud or Materially Misleading Information

If a client submits fraudulent documentation, fabricated financials, misrepresented ownership, falsified asset valuations, or any other materially misleading information — we cannot fund that transaction. More importantly, we are legally and ethically obligated not to. Our SEC CRD registration, FinCEN compliance infrastructure, FATCA reporting obligations, and cross-border regulatory standing mean that fraud in the submission process creates direct legal exposure under federal securities law and international financial crime regulations. We take this seriously. We have walked away from transactions at advanced stages when material misrepresentation was discovered — and we will continue to do so. Clients who submit complete, accurate, and verifiable information have never had a compliance-based funding failure with VII Capital Funds LLC®.

2. Market Conditions Outside Our Control

As with every form of lending and capital deployment in existence — private, institutional, or conventional — the market ultimately determines what gets funded, at what rate, and under what terms. No private lender, no investment bank, no hedge fund, and no institutional capital source on earth controls the market. Capital availability, interest rate environments, sector liquidity, investor appetite, and geopolitical conditions all influence what the market will support at any given moment. This is not a VII Capital Funds LLC® limitation. It is the fundamental reality of all capital markets — and any lender who tells you otherwise is lying to you.

The Guarantee Red Flag — Read This Carefully

If a lender or capital firm offers you a guarantee of funding in exchange for upfront fees — that is one of the most reliable indicators of fraud in the private lending industry. Legitimate capital institutions do not guarantee outcomes they do not control. Fraudulent operations guarantee outcomes precisely because the guarantee is the sales tool — not the capital. After 30 years of operation, we have watched countless clients lose substantial sums to exactly this pattern.

What VII Capital Funds LLC® DOES Commit To:
  • A thorough, professional, and transparent preliminary review within 48 to 72 business hours
  • An honest assessment of your project's fundability before any diligence costs are incurred
  • Complete transparency on who receives diligence payments and for what specific purpose
  • Full legal infrastructure — domestic and international — applied to every qualifying transaction
  • 30+ years of institutional relationships, regulatory standing, and capital network access working on your behalf
  • A clear, documented process from submission through PPM issuance with no hidden steps

We commit to the process, the infrastructure, and the integrity. The market commits to the outcome.

VII Capital Funds LLC® moves with institutional precision. Every stage of our process is structured, documented, and designed to protect both the client and the integrity of the capital placement. Here is exactly what to expect:

Stage 1 — Preliminary Review: 48–72 Business Hours

From the moment your submission is received, our intake department conducts an initial assessment of project viability, structural fit, and compliance posture. If your project qualifies, you receive a concise written overview covering risk factors, risk mitigation strategy, and cross-border compliance considerations.

Stage 2 — Letter of Intent and Engagement

Qualified clients may request a Letter of Intent with Engagement. A structured Zoom video conference is then scheduled with you and your legal team to align on scope, structure, capital requirements, and expectations before any diligence costs are incurred.

Stage 3 — Funding Commitment Issuance

Following the introductory conference, VII Capital Funds LLC® issues a formal Funding Commitment document outlining proposed rates, terms, conditions, and projected capital deployment timeline.

Stage 4 — Active Due Diligence: 3–5 Weeks

This phase is driven by the client's ability to deliver requested documentation promptly and completely. Clients who arrive organized and document-ready move significantly faster. This phase includes financial verification, entity and ownership documentation, legal structure review, and compliance analysis by domestic and international counsel.

Stage 5 — Asset Meeting and Physical Inspection

Conducted by the U.S. and cross-border legal compliance team on-site at the project location. Timing is coordinated with the client and all applicable legal parties.

Stage 6 — Private Placement Memorandum: 2–3 Weeks Post-Inspection

The PPM is prepared by legal counsel and issued following successful completion of the asset inspection and compliance review. The PPM is the formal instrument through which capital is syndicated and deployed.

Realistic Total Timeline: 8 to 12 weeks for a fully organized, document-ready client.

The single greatest variable in this process is client responsiveness. Thirty years of transaction experience has shown us one consistent truth: organized clients close. Clients who delay document delivery, provide incomplete information, or require repeated follow-up extend their own timeline — and in active capital markets, timeline has a cost.

With 30 years of institutional capital experience and active licensing across multiple U.S. states and international jurisdictions, VII Capital Funds LLC® has the infrastructure to evaluate and fund a broad range of complex, non-conforming, and institutional-scale transactions.

Transaction types we actively fund:
  • Large-scale commercial real estate acquisition and development
  • Ground-up construction and mixed-use development projects
  • Cross-border and international capital placements
  • Bridge and transitional financing for time-sensitive acquisitions
  • Business acquisition, expansion, and recapitalization
  • Infrastructure, energy, and industrial sector projects
  • Private equity and structured alternative investment placements
  • Non-conforming transactions declined by conventional banking institutions
General transaction parameters:
  • Minimum transaction size: $1,000,000 USD
  • Typical range: $5,000,000 to $500,000,000+ USD
  • Large-scale infrastructure and development: Reviewed individually, no ceiling
  • Geographic reach: Domestic U.S. transactions in all applicable states. International transactions managed through our Meritas Law Firms Worldwide partnership spanning 90+ countries, with full FATCA and GIIN compliance infrastructure for cross-border capital flows.

If your project has been declined by a conventional bank, that is not a disqualification with us. It is frequently the precise reason we are the right fit. Submit for preliminary review — our intake team will give you a clear answer within 48 to 72 business hours.

A strong submission is the fastest path to a funding commitment. Our intake team conducts the most efficient and favorable preliminary review when the following are provided at the outset:

Required for Preliminary Review:
  • Executive Summary — Project description, purpose, location, and scope
  • Capital Request — Specific amount requested and detailed use of funds
  • Project Financials — Pro forma projections, existing financials if applicable, and projected returns
  • Ownership and Entity Documentation — Operating agreements, corporate structure, and principal identification
  • Collateral Overview — Full description of assets securing the transaction
  • Exit Strategy — Documented plan for capital repayment or refinancing
Accelerates the Process:
  • Existing appraisals, environmental reports, or third-party assessments
  • Prior bank or lender correspondence (including decline letters)
  • Executed letters of intent, purchase agreements, or partnership documents
  • Legal entity formation documents and tax ID verification

You do not need a perfected package to begin. However, 30 years of transaction experience has demonstrated one consistent pattern: the quality of your submission is the first signal of the quality of your project management. Organized submissions generate faster, more favorable reviews. Incomplete submissions generate questions that cost time.

Begin with what you have. Be responsive to what we request. That combination closes transactions.

Yes — and our international infrastructure is not a recent addition. It is a core component of our 30-year operating history.

VII Capital Funds LLC® maintains full cross-border capital placement capability supported by:

  • Global Intermediary Identification Number: MRKFGS.99999.SL.840 — issued for international capital flow compliance
  • IRS FATCA Registration: #MRKFGS — full international tax reporting infrastructure
  • FinCEN Registration: #3000-0063-4579 — anti-money laundering compliance for cross-border transactions
  • United Nations Global Marketplace Registration: #205508
  • Meritas Law Firms Worldwide: international legal coverage spanning 90+ countries

Cross-border transactions carry additional diligence requirements — including jurisdictional legal analysis, sovereign and currency risk assessment, international entity verification, and applicable regulatory compliance in the project's jurisdiction. These requirements are reflected in the diligence cost range of $28,000 to $150,000+ USD.

If your transaction involves assets, principals, revenue, or capital flows outside the United States — disclose this clearly in your initial submission. Our intake team will route your file to the appropriate cross-border review pathway from the first contact.

International clients are subject to the same standards of documentation, compliance, and transparency as domestic clients. Our infrastructure is built to handle the complexity. Your obligation is to provide complete and accurate information.

We deeply respect intermediary relationships. All registered brokers and consultants are protected under formal fee agreements (NCNDA and Irrevocable Master Fee Protection Agreements). Once an intermediary registers through our onboarding portal, they receive dedicated onboarding packets and are kept directly informed throughout the sponsor's financing journey.
